Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Trueinvoice mobile application and website (the "Service"), provided by Anodelabs Technologies Limited ("Anodelabs," "we," "us," or "our"), a company registered in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. By creating an account, you agree to be bound by these Terms.

1. Eligibility & Account Responsibility

Age: You must be at least 16 years of age to use this Service.

Accuracy: You agree to provide accurate information (name, email, phone, company address) for record-keeping and invoice generation.

Security: You are solely responsible for maintaining the confidentiality of your account. Anodelabs is not liable for any loss resulting from unauthorised access to your account. You must notify us immediately at [email protected] if you suspect unauthorised use of your account.

2. The Service

Trueinvoice is currently provided as a free tool for invoice, estimate, and expense management. We reserve the right to modify, suspend, or discontinue the Service. If we discontinue the Service entirely, we will provide at least 30 days' advance notice via email to your registered address, during which time you may export your data or delete your account.

If we introduce paid features in the future, existing free functionality will not be removed without notice, and any new charges will be clearly communicated before they take effect.

3. Payments & Stripe Connect

Trueinvoice allows you to collect payments from your clients via Stripe Connect.

  • Platform role: Anodelabs is a platform provider, not a payment processor, bank, or money transmitter. All payment processing is handled by Stripe, Inc.
  • Stripe Agreement: By using payment features, you agree to the Stripe Connected Account Agreement.
  • Application fees: Anodelabs may collect a small service fee ("Application Fee") per transaction for facilitating the payment. These fees are deducted automatically and are non-refundable, even if you refund your client.
  • Disputes & chargebacks: You are responsible for all chargebacks, refunds, and payment disputes with your clients. Anodelabs has no liability for funds lost to disputes or Stripe's decisions regarding your account.

4. Your Responsibilities

Anodelabs is an administrative tool only. We do not provide tax, legal, or accounting advice. You are solely responsible for:

  • Ensuring invoices comply with local tax laws (VAT, GST, sales tax).
  • Reporting and remitting taxes to the appropriate authorities.
  • Maintaining your own independent backups of all financial records.
  • Ensuring you have an appropriate legal basis to enter your clients' personal data into the Service and to send them transactional emails via the Service (see our Privacy Policy, Section 11).

5. Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes in detail what data we collect, how we use it, who we share it with, and your rights under applicable data protection law.

All personal and transactional data is stored on secure servers located in Europe. For details on international data transfers, see our Privacy Policy, Section 6.

You may delete your account and all associated data at any time through Settings > User Details > Delete Account in the app, or via trueinvoice.co/delete-account on the web. For full details on what deletion covers, see our Privacy Policy, Section 9. If we discontinue the Service, we will provide at least 30 days for you to export or delete your data before accounts are removed.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANODELABS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT ANY DATA WILL BE PERMANENTLY STORED WITHOUT LOSS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANODELABS TECHNOLOGIES LIMITED, ITS DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ANODELABS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; (III) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY UNDER DATA PROTECTION LAW FOR BREACHES CAUSED BY OUR NEGLIGENCE; OR (IV) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

8. Indemnification

You agree to defend and indemnify Anodelabs against any third-party claims, damages, or legal fees (including reasonable attorney fees) arising from:

  • Your breach of these Terms.
  • Your tax liabilities or payment disputes with your clients.
  • Any fraudulent or illegal activity conducted through your account.
  • Your failure to comply with applicable data protection laws in relation to your clients' personal data that you enter into the Service.

9. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence, including your right to bring proceedings in the courts of your country of residence.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you via email or in-app notification at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may delete your account before the changes take effect.
